Momentum Learning Sold $2.435 Million in Private Offering

Momentum Learning Inc. sold $2.435 million in shares in a private offering, according to a Securities and Exchange Commission filing.

Momentum filed the Form D on Oct. 10. The filing said the company does not plan to use any of the gross proceeds to pay executives or directors.

The company is a computer software corporation based in Durham that provides skills training focused on the technology industry.

Momentum declined to disclose the issuer size of this offering. The date of the first sale in this offering was Oct. 2, and the total offering amount was $2.75 million, leaving $315,000 remaining to be sold.

The company claimed the federal exemption of Rule 506(b), which says that an offering can raise an unlimited amount of money and sell securities to an unlimited amount of accredited investors.
