Charlotte-based Level Brands Files to Sell $6 Million in Stock

Charlotte-based Level Brands, Inc., a marketing and brand management company, has registered to sell $6 million in stock, according to a filing with the Securities and Exchange Commission.

The company is offering 1.1 million shares at a price of $5.22 per share. Level Brands intends to use the proceeds to fund brand development and expansion, acquisitions and general working capital.

Level Brands was formed in March 2015. The company has business units that include Kathy Ireland Worldwide, which is a lifestyle brand focused on millennials. The company also has business units within health and wellness and professional hair care.

“Our business model is designed with the goal of maximizing the value of our brands through entry into license agreements with partners that are responsible for the design, manufacturing and distribution of our licensed products,” said Level Brands in the filing. “We promote our brands across multiple channels, including print, television and social media.”

Encore Endeavor One, another entity of Level Brands, was established to serve as a producer and marketer of experiential entertainment including recordings, film, TV, web and live events, and entertainment experiences.

In the three months ended June 30, Level Brands reported $1.8 million in sales, up from $1.4 million in sales in the three months ended June 2017.

During 2016 and 2015 net sales for the company were solely from its professional products division. It began reporting revenues from its licensing division and entertainment division during the second quarter of 2017.

Martin Sumichrast, an original board of director member since inception, has served as chief executive officer and president since September 2016. Sumichrast also acts as managing director of Washington Capital LLC, a family owned business.

Its stock fell $1.25 to $4.00 on Wednesday.
