Gateway Ambulatory Surgery Center, a North Carolina-based company, sold $1.59 million in shares in a private stock offering, according to a Securities and Exchange Commission filing.

The company filed the Form D on March 6. It did not disclose what it intended to do with the proceeds.

The Gateway Ambulatory Surgery Center is an outpatient surgical facility that provides patients with surgical care in general surgery, orthopedics, gynecology, urology, podiatry, ENT, pain management, ophthalmology, plastic/cosmetic, and oral.

The center has over 50 board certified physicians and is lead by executive officers Bill Hubbard, Francis Langford, David Rhodes, Robert Bashore and William Goglin.

Companies relying on a Reg D exemption do not have to register their offering of securities with the SEC, but they must file what’s known as a Form D electronically with the SEC after they first sell their securities.

The form can be found here.
