Durham Real Estate Investment Fund Files to Raise $10 Million

A real estate investment fund in Durham has filed to raise $10 million in equity, according to a Securities and Exchange Commission filing.

D.T.I. Holdings, Llc. filed a Form D on Nov. 10. The company stated that the operating agreement provides for management/development fees for deployed investment, which is roughly 3 percent of the amount invested by the issuer.

The filing states that $10 million is the maximum offering amount, but the amount sold may be as low as $7 million.

Jonathan Dayan, a managing member of D.T.I. Holdings, filed for corporate registration in Durham in June of 2016 with the North Carolina Secretary of State. He is also the CEO of MED Associates, a real estate investment company.

Dayan spent three years at Duke University as a postdoctoral fellow and has a PhD from Tel Aviv University.

Companies relying on a Reg D exemption do not have to register their offering of securities with the SEC, but they must first file what’s known as a Form D electronically with the SEC after they first sell their securities.
